Proxy voting agencies and corporate governance standards

About the Project

Proxy voting agencies play a major role in ensuring meaningful levels of engagement between shareholders and the management of large firms, particularly in terms of ensuring significant voting levels at AGMs. However, the extent to which the proxy organisations are truly independent has been questioned recently (see, e.g. https://www.ft.com/content/75c136b4-e168-11e2-b796-00144feabdc0), in particular as regards the “guidance” offered to owners regarding voting plans. This project would involve detailed investigation of the views of a wide range of key stakeholders including, inter alia, investors, regulators (both of investment markets and corporate governance practices), investee companies and the proxy firms themselves, based on an accountability framework, to establish where the main concerns exist and how they might best be addressed.

QUALIFICATIONS
Applicants must have obtained, or expect to obtain, a first or 2.1 UK honours degree, or equivalent for degrees obtained outside the UK in a relevant discipline.

English language requirement: IELTS (Academic) score must be at least 6.5 (with not less than 5.5 in each of the four components). Other, equivalent qualifications will be accepted. In the ‘provider questions’ section of the application form:

- Write the lead supervisor’s name and give brief details of your previous contact with them in the ‘previous contact with the University of Dundee’ box.

In the ‘personal statement’ section of the application form, outline your suitability for the project selected.

Funding Notes

There is no funding attached to this project. The successful applicant will be expected to provide the funding for tuition fees and living expenses, via external sponsorship or self-funding.
